Last updated 18 October 2024, to clarify cancellation, changes and transfer terms and conditions.
These terms and conditions apply to all services provided by Indigo Business Services Limited ("Indigo") unless otherwise agreed in writing between Indigo and the client contact or organisation. They cover: public workshops, public accreditation and re-accreditation events; Indigo Learning Credits; in-house/in-company training; and workbooks, licences and support materials.
UK VAT (at 20%) is payable where required by law. An Indigo representative refers to a trainer, consultant or speaker.
In the event of a late payment of Indigo's invoice, Indigo shall be entitled to charge interest daily from the date of the invoice to the date full payment is made. This is charged at 4% above the base rate of Barclays Bank plc. If payment is outstanding for longer than 90 days, Indigo reserves the right to cancel any forthcoming workshops or reservations for the client's organisation. All outstanding invoices become immediately due and payable.
Indigo shall be entitled to suspend performance in whole or in part for such period as it is prevented from performing due to events beyond its control. Such events may include, but are not limited to, illness of the Indigo representative, transportation strikes, internet or delivery platform outages, or severe weather. Indigo will inform the client as soon as possible.
Indigo processes and stores personal information to provide, measure and promote its products and services, fulfil contractual requests, comply with legal requirements, and respond to legitimate requests regarding attendance. Personal information is not sold, rented or given to any other organisation for their own use.
Indigo works with third parties to deliver products and services; they only receive the information required to fulfil their contract, and are not permitted to contact you directly unless you have given your consent.

Fees are invoiced and payable in British pounds sterling, unless otherwise negotiated with Indigo in writing. Payment must be received within 30 days of the invoice date or before the workshop, whichever is sooner. The workshop fee covers all training materials, and:
• Face-to-face/classroom workshops include lunch and refreshments. Accommodation is not included in the workshop fee.
• Virtual instructor-led training (VILT) includes the learning platform and additional learning materials. It does not include delegate equipment or internet connection, which the client arranges and is responsible for.
If a delegate wishes to transfer to a later workshop within 20 working days of the original workshop date, an administrative charge of 25% of the standard workshop fee will apply, regardless of any discounts given. If a transfer is made within five working days of the original workshop date, 50% of the standard workshop fee will be charged, regardless of any discounts given. A transfer can only be made once per delegate, per booking.
If a booking is cancelled within 30 working days of the workshop, or the delegate fails to attend, the full workshop fee is due immediately. If a booking is cancelled more than 30 working days before the workshop, an administration fee of 10% of the full standard workshop fee will be charged, regardless of any discounts applied.
There is no charge if a substitute from the same organisation replaces the original delegate on the same date and workshop. Indigo must be informed at least 5 working days before the start date, in writing. If the original delegate has already accessed their materials, a substitution cannot be accepted.
Indigo works with public workshop venues that provide a safe environment for delegates. All transfers, cancellations or substitutions must be confirmed in writing.
Fees are invoiced and payable in British pounds sterling, unless otherwise negotiated with Indigo in writing. The full package fee is invoiced upon signature of the master agreement and is due within 30 days of the invoice date or before the first workshop, whichever is sooner. This is non-refundable in the event of cancellation.
The same transfer terms as public workshops apply: a 25% administrative charge within 20 working days of the original date, rising to 50% within five working days, regardless of any discounts given. A transfer can only be made once per delegate, per booking.
If a booking is cancelled within 30 working days of the workshop, or the delegate fails to attend, the Learning Credit(s) used are still classed as used.
There is no additional charge or loss of Learning Credit(s) if a substitute from the same organisation replaces the original delegate on the same date and workshop, provided Indigo is informed at least 5 working days in advance and the original delegate has not yet accessed their materials. All transfers, cancellations or substitutions must be confirmed in writing.
All cancellations, transfers or changes must be confirmed in writing to your Indigo consultant.
Fees are invoiced and payable in British pounds sterling, unless otherwise negotiated with Indigo in writing. Fees include the Indigo representative, all participant workbooks and handouts, and visual aids, for up to 12 participants unless otherwise agreed.
• Face-to-face/classroom events do not include the training room or audio-visual equipment, which the client arranges unless otherwise agreed. Representative travel, accommodation and living expenses are arranged and paid for by the client, or recharged at cost, in addition to the programme fee.
• Virtual instructor-led training (VILT) events do not include delegate equipment or internet connection, which the client arranges and is responsible for.
50% of the total fees is payable upon signature of the agreement, and the balance is payable within 7 days of workshop delivery. Additional delegate fees and expenses incurred by the Indigo representative will be invoiced as soon as possible after the workshop.
If the client changes or transfers a workshop date, 100% of any expenses already incurred is due immediately. If this occurs within 30 working days of the scheduled start date, an additional 50% of the total fees also becomes payable immediately.
The workshop must be re-booked within 3 months of the original start date. All remaining fees become due at the end of this period, regardless of whether the workshop has been delivered. Any change of confirmed venue makes 100% of expenses already incurred immediately payable.
